1. Acceptance of Terms

By accessing or using Location Genius AI ("the Service"), purchasing a report, creating an account, or otherwise interacting with our website at locationgenius.technetgrp.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.

2. Service Description

Location Genius AI provides AI-generated location intelligence reports for businesses considering physical locations within the United States. Reports are generated using publicly available data sources, including data from the US Census Bureau and OpenStreetMap, combined with artificial intelligence analysis powered by Anthropic's Claude language model.

Reports are available at three geographic levels: City ($15), State ($35), and National ($99). Each report is a one-time purchase that produces a self-contained document with location analysis, demographic data, competitive landscape information, and opportunity scoring.

All reports are generated for INFORMATIONAL PURPOSES ONLY. They are not a substitute for professional advice, independent research, or due diligence.

3. No Professional Advice

Nothing in any Location Genius AI report constitutes professional business advice, financial advice, investment advice, legal advice, real estate advice, tax advice, or any other form of professional counsel. The reports are analytical summaries generated by artificial intelligence and should be treated as one of many inputs in your decision-making process.

You should always consult with qualified professionals — including but not limited to business consultants, financial advisors, attorneys, accountants, and licensed real estate professionals — before making any business, investment, or location decisions. Location Genius AI is not a licensed advisor in any jurisdiction.

Any opportunity scores, rankings, revenue estimates, or projections contained in reports are illustrative and probabilistic in nature. They should not be interpreted as guarantees, forecasts, or promises of any outcome.

4. Data Accuracy Disclaimer

Reports rely on data sourced from third-party providers, including the US Census Bureau, OpenStreetMap, and the Overpass API. Location Genius AI does not independently verify, audit, or guarantee the accuracy, completeness, timeliness, or reliability of any third-party data.

Third-party data may be outdated, incomplete, inaccurate, or contain errors. Census data, for example, is collected periodically and may not reflect current conditions. OpenStreetMap data is community-contributed and may contain omissions or inaccuracies. Business listings and points of interest may be incomplete or no longer current.

The AI analysis layer is probabilistic in nature. AI-generated content, including narrative analysis, competitive assessments, demographic interpretations, and opportunity scores, may contain inaccuracies, misinterpretations, hallucinations, or errors. AI models do not have real-time awareness and may produce outputs that do not accurately reflect real-world conditions.

Location Genius AI makes no representation that any data, analysis, or conclusion in any report is correct or current at the time of delivery.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCATION GENIUS AI, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Damages arising from the use of or inability to use any report
• Damages arising from reliance on any data, analysis, score, or recommendation in any report
• Damages arising from business decisions made based on report content
• Damages arising from errors, omissions, inaccuracies, or outdated information in any report
• Loss of profits, revenue, business opportunities, goodwill, or data
• Damages arising from unauthorized access to or alteration of your data
• Any other damages arising from or related to the Service

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if Location Genius AI has been advised of the possibility of such damages.

In no event shall the total, aggregate liability of Location Genius AI for all claims arising from or related to a specific report exceed the amount you actually paid for that specific report.

6. No Warranty

THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LOCATION GENIUS AI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that reports will meet your expectations or requirements; that results obtained from reports will be accurate or reliable; or that defects will be corrected. No advice or information, whether oral or written, obtained from Location Genius AI shall create any warranty not expressly stated in these Terms.

7. Purchases and Refunds

All purchases are one-time payments processed in US Dollars (USD) via Stripe. Prices are displayed before purchase and may change at any time without notice. Price changes do not affect previously completed purchases.

Successfully generated and delivered reports are non-refundable. By purchasing a report, you acknowledge that digital goods are delivered immediately and you waive any right to a cooling-off period refund once the report has been generated.

If report generation fails for any reason (technical error, data unavailability, system failure), you will receive an automatic full refund to your original payment method. Location Genius AI reserves the right to issue refunds at its sole discretion in other circumstances.

Location Genius AI reserves the right to modify pricing, discontinue report types, or change the scope of reports at any time.

8. Intellectual Property

Upon purchase, you receive a limited, non-exclusive, non-transferable license to use the generated report for your personal or internal business purposes. You may share report links with colleagues, partners, or advisors.

You may NOT: resell reports or report data; redistribute reports commercially; create derivative products, databases, or services based on report content; scrape, crawl, or systematically extract data from reports; use reports to build a competing product or service; or remove any branding or attribution from reports.

Location Genius AI retains all rights, title, and interest in the Service, including its website, branding, algorithms, software, and report templates. All trademarks, service marks, and trade names are the property of Location Genius AI.

9. User Accounts

Account creation is optional. You may purchase reports without creating an account. Free accounts provide access to report history and dashboard features.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Location Genius AI reserves the right to suspend, disable, or terminate any account at our sole discretion, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, or abusive behavior.

10. Indemnification

You agree to indemnify, defend, and hold harmless Location Genius AI, its owners, officers, directors, employees, agents, affiliates, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your use of or reliance on the Service or any report
• Your violation of these Terms
• Your violation of any third-party rights
• Any claim that your use of a report caused damage to a third party
• Business decisions you made based on report content

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Location Genius AI. All claims must be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12. Changes to Terms

Location Genius AI reserves the right to modify, update, or replace these Terms at any time at our sole discretion. Changes take effect immediately upon posting to this page. The version number and date at the top of this page indicate when the Terms were last updated.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify registered users via email, but failure to provide such notice does not invalidate the updated Terms.

It is your responsibility to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect, and the invalidity of one provision shall not affect the validity of any other provision.
